Role Overview
The Commercial Lawyer will provide comprehensive legal support to clients across a variety of commercial matters. The role involves drafting, reviewing, and negotiating a range of contractual documents while ensuring alignment with applicable laws, regulatory requirements, and internal governance standards. The ideal candidate is commercially minded, highly organized, and able to deliver clear, practical legal solutions in a dynamic client-focused environment.
Primary Responsibilities
- Draft, review, amend, and negotiate commercial agreements such as service contracts, supply and procurement agreements, consultancy arrangements, partnership structures, agency and distribution agreements.
- Deliver day-to-day legal advice to clients on commercial and contractual matters in a practical, solutions-driven manner.
- Prepare legal documentation including memoranda, legal opinions, formal correspondence, and standardized contractual templates.
- Assess contractual risks and provide recommendations for mitigation aligned with commercial objectives.
- Ensure compliance of commercial activities and documentation with applicable laws, regulations, and internal governance and compliance frameworks.
- Contribute to corporate governance requirements by preparing internal policies, procedures, and compliance documentation.
- Advise on key contractual terms including payment mechanisms, liabilities, indemnities, penalties, termination provisions, dispute resolution clauses, and other commercial risk areas.
- Maintain accurate records of agreements, amendments, and contractual correspondence.
- Support variations and change orders to existing contracts through proper legal documentation.
Qualifications & Experience
- Bachelor’s degree in Law from an accredited institution.
- Minimum of five years’ experience in commercial contracting and legal advisory, preferably with an international law firm or multinational organization.
- Demonstrated ability to draft and negotiate contracts in both Arabic and English.
- Strong knowledge of commercial law, corporate law, compliance requirements, and governance frameworks.
- Ability to manage multiple client needs simultaneously while maintaining precision and quality.
- Strong analytical, drafting, and advisory capabilities.
- Ability to work both independently and within a collaborative professional environment.
