About the Role
A leading organization is seeking an experienced Corporate Legal Manager to oversee corporate legal affairs, contract management, regulatory compliance, and corporate governance matters.
The successful candidate will provide practical legal advice to senior management and business functions, with particular emphasis on commercial contracts, corporate matters, and capital markets / stock-exchange regulations.
Key Responsibilities
Corporate Legal Affairs
- Manage the organization’s day-to-day corporate legal matters.
- Provide legal advice and recommendations to senior management and internal stakeholders.
- Review and prepare corporate documents, resolutions, powers of attorney, and related legal documentation.
- Ensure compliance with applicable corporate laws and regulatory requirements.
- Support Board and General Assembly activities and documentation when required.
- Coordinate with external legal counsel and other professional advisors.
Contracts & Commercial Matters
- Draft, review, negotiate, and manage commercial and corporate agreements.
- Identify contractual risks and recommend appropriate mitigation measures.
- Ensure agreements adequately protect the organization’s legal and commercial interests.
- Advise internal stakeholders on contractual obligations, liabilities, indemnities, warranties, penalties, confidentiality, termination, and dispute-resolution provisions.
- Establish and maintain an effective contract review and approval process.
- Support the business in resolving contractual issues and disputes.
Capital Markets & Regulatory Matters
- Provide legal support on capital-market, securities, and stock-exchange-related matters.
- Monitor applicable regulatory requirements and ensure compliance with relevant authorities and regulations.
- Review and advise on corporate transactions involving shares, securities, financing, investments, and related matters.
- Support regulatory filings, corporate disclosures, and announcements where applicable.
- Coordinate with external advisors and relevant regulatory authorities as required.
Legal Compliance & Risk Management
- Monitor changes in laws and regulations and assess their impact on the organization.
- Identify legal and regulatory risks and recommend mitigation actions.
- Develop and implement legal policies, procedures, and internal controls.
- Ensure appropriate legal documentation and records are maintained.
Disputes & Legal Advisory
- Manage and monitor legal disputes and claims in coordination with external counsel.
- Review legal notices, claims, and responses.
- Provide legal opinions and recommendations to management.
- Support negotiations and settlements where appropriate.
Team Management
- Lead and supervise the legal team.
- Allocate responsibilities and monitor the quality and timely delivery of legal services.
- Develop team capabilities and establish effective legal-work standards.
Qualifications
- Bachelor’s degree in Law.
- Postgraduate qualification in Corporate, Commercial, or Business Law is preferred.
- Valid legal license/registration as applicable.
Experience
- 8–10+ years of relevant legal experience.
- Strong experience in corporate legal affairs and commercial contracts.
- Proven track record in drafting, reviewing, and negotiating complex agreements.
- Strong exposure to capital markets, securities, stock-exchange regulations, or listed-company matters is highly preferred.
- Experience dealing with senior management and external legal advisors.
- Previous managerial or team-leadership experience is preferred.
