We're Hiring | Counsel / Senior Counsel – Corporate & M&A
Khedive Law Firm is seeking an experienced Counsel / Senior Counsel to join and help lead our growing Corporate Transactions practice in Cairo, Egypt.
We are looking for a commercially minded legal professional with 12+ years of experience in Corporate Law, Mergers & Acquisitions (M&A), Venture Capital, Private Equity, and Commercial Contracts.
This is a senior leadership opportunity for a lawyer capable of independently managing complex transactions, advising sophisticated clients, and contributing to the strategic growth of the firm.
Key Areas of Expertise
The ideal candidate will demonstrate substantial experience in:
- Mergers & Acquisitions (M&A)
- Venture Capital and Private Equity transactions
- Commercial Contracts and Corporate Advisory
- Legal Due Diligence
- Share Purchase Agreements (SPAs)
- Shareholders' Agreements (SHAs)
- Joint Ventures and Transaction Structuring
- Transaction Execution and Closing Mechanics
- Corporate Governance and Regulatory Compliance
- GAFI Procedures and Egyptian Corporate Filings
- FRA and/or CBE Regulatory Matters, including Financial Services, Fintech, Licensing, Regulatory Approvals, and Change-of-Control Transactions
Key Responsibilities
- Lead and execute complex corporate and M&A transactions independently.
- Advise local and international clients, investors, and businesses on transactional and corporate matters.
- Draft, review, and negotiate sophisticated transaction documents.
- Manage client relationships and coordinate with international legal counsel.
- Supervise and mentor associates and junior lawyers.
- Support business development, client acquisition, and the expansion of the firm's Corporate Transactions practice.
Candidate Requirements
- Minimum 12 years of relevant legal experience, preferably within a reputable corporate law firm.
- Strong knowledge of Egyptian corporate and commercial law and regulatory procedures.
- Proven ability to lead transactions from initial structuring through completion.
- Excellent professional English, particularly in legal drafting, negotiations, and communications with international clients and foreign counsel.
- Strong leadership, commercial judgment, client management, and business development capabilities.
Career Progression
The position offers a potential pathway to Non-Equity Partnership within 18 months, subject to demonstrated performance, leadership, client relationship management, and contribution to the firm's business growth.
