Job Title: Legal Consultant – Corporate
Job Location: Riyadh, Saudi Arabia

Key Responsibilities:
- Advising clients on corporate and commercial legal matters in accordance with applicable Saudi laws and regulations.
- Handling company establishment, incorporation, restructuring, mergers, transformations, and dissolutions.
- Advising on appropriate legal structures for establishing and operating businesses in Saudi Arabia.
- Preparing, reviewing, and amending Articles of Association, bylaws, shareholder agreements, resolutions, and other corporate documents.
- Assisting with company registrations, amendments, licenses, and regulatory requirements before relevant government authorities.
- Advising on corporate governance and compliance matters.
- Preparing and reviewing shareholder, partner, and board resolutions, powers of attorney, and other corporate approvals.
- Advising on acquisitions, disposals, investments, joint ventures, partnerships, and corporate restructuring.
- Drafting, reviewing, and negotiating commercial agreements and other business-related contracts.
- Conducting legal due diligence and identifying legal, regulatory, and commercial risks.
- Providing practical and commercially focused legal solutions.
- Monitoring changes in Saudi laws and regulations and advising clients on their impact.
- Conducting legal research and preparing legal opinions, memoranda, proposals, and reports.
- Supporting clients in obtaining and maintaining corporate registrations, licenses, approvals, and regulatory authorizations.
- Managing corporate legal records and maintaining accurate documentation.
- Coordinating with clients, government authorities, and relevant stakeholders.
- Managing multiple matters independently while meeting deadlines.
Requirements:
- LLB degree.
- English Language (essential).
- 5+ years of experience in corporate and commercial law, preferably in a law firm or private sector.
- Experience in company incorporation, corporate restructuring, corporate governance, and commercial transactions.
- Strong knowledge of Saudi corporate and commercial laws and regulations.
- Excellent verbal and written communication skills.
- Practice License.
