Key Responsibilities
Draft, review, and negotiate contracts and agreements in English, ensuring accuracy, clarity, and compliance with relevant corporate laws and regulations.
Provide legal advice on a broad range of corporate matters, including compliance, risk management, corporate governance, and business operations.
Provide legal support and advisory to the Board of Directors and senior management on corporate governance matters, board resolutions, legal risks, and strategic business decisions.
Prepare, review, and maintain Board of Directors documentation, including board resolutions, meeting minutes, agendas, powers of attorney, and other corporate governance documents, ensuring proper legal and regulatory compliance.
Work closely with internal teams, including Finance, HR, and Operations, to address legal issues and contribute to strategic decision-making processes.
Monitor and ensure compliance with applicable laws and regulations, including corporate, data protection, intellectual property, and other relevant legal requirements.
Identify, assess, and mitigate legal and regulatory risks that may impact the company or its business activities.
Prepare and manage legal documents, reports, correspondence, and corporate records with a high level of accuracy and attention to detail.
Offer legal training and support to other departments as needed to ensure awareness of legal requirements and best practices.
Qualifications
* Bachelor of Laws (LL.B.) degree required. Master's degree in Law (LL.M.) preferred.
Licensed by the Bar Association, with at least a primary-level license.
Minimum of 5 years of experience in corporate law, with demonstrated experience in drafting, reviewing, and negotiating contracts.
Experience in corporate governance and providing legal support to senior management and/or Boards of Directors is highly preferred.
Proven expertise in contract law, corporate law, and regulatory compliance, with strong analytical and problem-solving skills.
Ability to communicate complex legal concepts clearly and effectively to both legal and non-legal stakeholders.
Excellent command of English, both written and verbal. Additional language skills are a plus.
Exceptional attention to detail, accuracy, and discretion when handling confidential legal and corporate matters.
