JOB DESCRIPTION
Corporate & Subsidiary Governance
- Design, develop, and implement corporate governance frameworks, charters, and policies for groups with multi-entity structures (wholly owned, JV-controlled, and non-controlled entities)
- Conduct governance maturity assessments and benchmark against international codes (UAE SCA/CMA Governance Code, UK Corporate Governance Code, GCC best practice and others, as applicable)
- Support subsidiaries governance operating models, including board nomination processes, delegation of authority (DOA) frameworks, and reporting lines to Group entities
- Draft board resolutions, shareholder resolutions, circular resolutions, board minutes, and committee terms of reference
Legal / Corporate Secretarial
- Maintain statutory registers, filings, and records across jurisdictions (UAE mainland, free zones, and offshore structures)
- Support entity incorporation, share transfers, capital restructuring, board/AGM resolutions, powers of attorney reviews, and license renewals
- Review constitutional documents (MoA, AoA), shareholder agreements, and JV governance arrangements
Qualifications & Skills
Required
- Bachelor's degree in Law, Corporate Governance, Business, or related field
- 4–6 years of relevant experience in corporate governance, company secretarial, or in-house legal roles, ideally within Big 4 professional services, large corporate groups, or government entities
- Demonstrated drafting capability: board/shareholder resolutions, minutes, governance charters, DOA frameworks
- Working knowledge of UAE company law, free zone regulations, and GCC governance codes
