About the Role:
GRC Strategy & Governance Framework
- Set the strategic direction for the DHLE GRC function and lead its execution, ensuring senior ownership of governance, risk and compliance matters and consistent application of the governance framework across all business units and functions.
- Drive the full implementation and embedding of the Governance Manual, Delegation of Authority and related policies into operating practices, decision forums and functional ways of working.
- Act as custodian of the Delegation of Authority, with visibility and challenge rights over how delegated authorities are exercised and whether DOA or policy exceptions are properly justified.
- Oversee corporate governance and committee or taskforce governance, ensuring clear accountabilities, effective documentation, robust decision records and compliance with DH and DHLE requirements.
- Provide independent input, challenge and advice on governance, risk, compliance and ethics matters, including direct escalation to the DHLE CEO and, where appropriate, the DH Audit & Risk Committee on material concerns.
- Identify and deliver practical GRC enhancements that strengthen governance adoption, risk oversight, compliance discipline and stakeholder confidence.
Enterprise Risk Management & Business Continuity
- Oversee the ERM Framework and Policy, ensuring strategic, business, operational and reputational risks are identified, assessed, monitored, escalated and supported by clear mitigation plans; advise the CEO and Executive Management on enterprise risk appetite, with a direct escalation route to the DHLE CEO for material risk matters.
- Place primary emphasis on strategic governance and enterprise risk, ensuring DOA administration, committee governance and risk oversight are aligned with DHLE’s business priorities.
- Lead the development and periodic review of risk registers, emerging risk assessments, mitigation plans and management reporting for the CEO, Executive Management and relevant committees.
- Provide oversight of business continuity and resilience activities, ensuring plans are updated, tested and aligned with DHLE’s operating environment and Dubai Holding expectations.
- Support risk-informed decision-making in relation to major business initiatives, development activities, operating model changes and strategic priorities.
Compliance, Reporting & Audit Readiness
- Provide active oversight of the Compliance Manual and regulatory compliance register, ensuring obligations are visible, monitored, assigned and reported, and that compliance oversight moves beyond maintenance into active management.
- Ensure DHLE remains aligned with DH and DHLE GRC guidelines, corporate governance expectations, ethical standards and applicable regulatory requirements.
- Maintain general financial crime and AML awareness as part of the broader compliance agenda.
- Guide the preparation of GRC reports and disclosures for the CEO, Executive Management, committees and Dubai Holding stakeholders, ensuring submissions are accurate, timely and insight-led.
- Track audit findings, compliance actions, DOA or policy exceptions and management commitments, ensuring owners are assigned and actions are closed within agreed timelines.
People Management
- Build, lead and develop the DHLE GRC function, providing the leadership required to move existing foundations into a more embedded and mature operating model.
- Partner with functional leaders, Dubai Holding teams and internal stakeholders to strengthen GRC capability, awareness, adoption and accountability across DHLE.
About You:
- Minimum 15–20 years of relevant experience, including significant senior-level experience in corporate governance, enterprise risk management, compliance, controls, audit, business continuity, legal, regulatory or related GRC disciplines.
- Demonstrable builder or transformer experience, with a track record of embedding governance manuals, DOA frameworks, committee governance, ERM practices and compliance disciplines into business operations.
- Strong corporate governance and enterprise risk management experience is essential; regulatory compliance experience is required but should not be the sole or dominant background.
- Real estate, land development, master development, infrastructure, investment, holding company or similarly complex multi-stakeholder environment experience is preferred.
- Bachelor’s degree in Business Administration, Law, Risk Management, Finance or a related discipline from a recognised university; master’s degree or equivalent postgraduate qualification preferred.
- Professional certification such as FRM, CIA, CRMA, CCEP, CAMS or equivalent is preferred.
- Strong corporate governance and enterprise risk management expertise, with the ability to embed frameworks, policies and committee disciplines into business operations.
- Strong knowledge of Delegation of Authority administration, policy governance, exception management, compliance monitoring, audit readiness and management reporting.
- Ability to provide independent challenge, escalate material concerns and advise senior stakeholders on risk, compliance, governance and ethics matters.
- Working knowledge of regulatory compliance management and general financial crime or AML concepts; deep AML specialism is not a core requirement.
- Strong analytical capability with the ability to convert risk, compliance and governance information into practical insights for executive decision-making.
- Excellent written and verbal communication skills, including the ability to prepare clear committee papers, governance documents, executive reports, policies and presentations.
