risk-adjusted returns, enhanced liquidity, and access to institutional-grade
real estate assets. As we scale our platform and asset base, we are seeking a
commercially driven Head of
Fundraising and Investor Relations to lead our capital-raising
strategy.
Role SummaryThe Head of Fundraising and Investor Relations
will own the full capital-raising lifecycle, from strategy design through deal
close, while building and maintaining trusted, transparent relationships with
institutional and professional investors and investor networks, including
venture capital firms, private equity houses, family offices, and investment
platforms actively investing in technology, FinTech, and digital assets. This
is a senior, high-visibility role requiring a blend of private markets
expertise, storytelling ability, and cross-functional fluency across investments,
finance, and digital assets.
Key Responsibilities Fundraising Strategy & Execution• Lead Capital Strategy: Partner
with the CEO and executive team to design and execute end-to-end fundraising
strategies across seed, Series A/B, bridge rounds, and institutional capital
raises, including setting targets, timelines, and sequencing.
• Investor Outreach: Conduct
direct outreach, secure warm introductions, and pitch to institutional VCs,
family offices, strategic investors, and other new investor segments, including
crypto-native funds and traditional private capital sources.
• Manage Pipeline: Build and
manage investor pipelines from initial outreach through term sheet negotiation
and close, tracking all interactions, pipeline stages, and conversion metrics
using CRM tools.
• Lead Due Diligence: Coordinate
data room preparation, answer complex due diligence questionnaires (DDQs), and
manage document readiness to accelerate deal closing.
• Exits & IPO Roadmap: Define
the roadmap for strategic exits and IPO. Lead pre-IPO fundraising efforts
and drive IPO readiness initiatives, including investor positioning, capital
structure planning, and coordination with bankers, auditors, and legal
advisors.
Collateral & Narrative Refinement• Refine Pitch Materials: Continuously
improve the pitch deck, executive summary, financial model, and valuation
narrative, tailoring materials to different investor audiences.
• Market Intelligence: Gather
competitor data, sector trends, and investor feedback to advise leadership on
pricing, sizing, and investor expectations.
• Ensure all
materials align with regulatory, compliance, and brand standards.
Investor Relations (Post-Investment)• Maintain Relationships: Cultivate
trusting, transparent relationships with existing shareholders, LPs,
institutional investors, and family offices, including onboarding and
expectations-setting.
• Reporting: Oversee regular
investor updates, including monthly/quarterly performance letters, financial
overviews, portfolio updates, and milestone tracking.
• Stakeholder Engagement: Coordinate
investor meetings, investor days, annual investor meetings, earnings calls,
update calls, and ad-hoc strategic discussions; address investor inquiries
related to fund performance and market positioning.
Cross-Functional Alignment• Partner with
finance and legal teams to align capital allocation with business strategy.
• Collaborate with
the investment and asset management teams to translate operational performance
into investor-facing narratives.
• Work with
compliance and legal counsel to ensure fundraising activities meet applicable
securities and digital asset regulations across relevant jurisdictions.
Capital Formation Strategy• Manage Cap Table: Oversee cap
table structure, modeling, and updates across funding rounds.
• Dilution & Non-Dilution Strategy: Advise
on and structure dilutive and non-dilutive financing options to optimize
ownership and capital efficiency.
• Capital Raise Structuring: Design
the strategy and structure of capital raises, including instrument selection
(equity, convertible notes, SAFEs, debt) and round sizing.
• Investor Rights: Negotiate and
manage investor rights provisions, including pro-rata rights, information
rights, board or advisory council seats, and protective provisions.
Investment Documentation• Term Sheets: Draft, review, and negotiate term sheets for equity and debt financings.
• Subscription Agreements: Manage
investment subscription agreements and closing documentation for each round.
• Investment Letters: Coordinate
commitment letters, letters of intent, investment MOUs, and provisions with investors.
• Private Placements: Oversee
private placement documentation and compliance with applicable regulations.
Shareholder Management• Shareholder Approvals: Manage
shareholder relations and coordinate required shareholder approvals for corporate
actions.
• Shareholder Calls: Conduct
quarterly shareholder calls to communicate performance and strategic updates.
• AGMs & EGMs: Organize and
lead Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
• Corporate Reporting: Oversee
issuance of quarterly and annual reports and corporate governance reports.
Qualifications• 10–15 years of
experience in fundraising, capital formation, investment banking, private
equity, or strategic investor relations.
• Experience
leading Series A–C fundraising exercises.
• Proven track
record of fundraising for startups in Tech, FinTech, investments, or digital
assets sectors.
• Demonstrated
track record of closing institutional equity capital raises (equity, debt, or fund
vehicles).
• Established
network in venture capital, private equity, investments, family offices,
investor networks, or institutional investors.
• Strong
understanding of real estate investment structures; familiarity with
tokenization, digital assets, or blockchain-based finance is a strong plus.
• Excellent
written and verbal communication skills, with experience producing
investor-grade materials.
• Comfortable
operating in a fast-moving, entrepreneurial environment with evolving
regulatory frameworks.
• Bachelor's
degree required; MBA, CFA, or equivalent advanced qualification preferred.
